The markets needed a breather after this week's chaotic nosedive, and they got a welcome respite today. The Dow Jones Industrial Average (DJINDICES: ^DJI ) hasn't done much today, hovering near breakeven this afternoon, but at least investors aren't getting hammered like they were earlier in the week. Blue-chip stocks are mixed evenly between risers and losers today, with only a few stocks moving significantly. It's unlikely that Wall Street has gotten over its irrational fear of the end of quantitative easing that quickly, however, so long-term investors should hold tight, as more volatility is likely to come. Let's get caught up on the top stories of the day.
P&G leads the way; B of A fades
Procter & Gamble (NYSE: PG ) is cruising full sail in today's calm market, leading the cadre of Dow risers higher. The consumer goods company's shares have jumped 1.6% as P&G continues to regroup under newly returned CEO A. G. Lafley. P&G has made the most of its brands lately, signing designer fragrance deals with the likes of Alexander McQueen and Stella McCartney. The company is also expanding geographically, looking to challenge rivals in emerging markets such as India. The firm recently invested heavily in its Indian unit, and while the business is small, Lafley also put much of his energy into growing the business during his previous tenure with P&G.

- [By Will Ashworth] On September 3 Jarden (NYSE:JAH) announced it was acquiring Yankee Candle Company for $1.75 billion. Almost all the media I've seen since regarding the acquisition has been quite favorable. As I write this almost a full week has passed; the 10% uptick on the news is holding steady. It appears no one has a problem with this deal--except me. Read on and I'll explain why Jarden may be burning the candle at both ends.
The Deal's Positives
The company does a good job explaining why it's acquiring Yankee Candle. It comes down to six reasons:
1. Yankee Candle are market leaders in premium scented candles.
2. Its brand awareness results in repeat purchases providing recurring revenue.
3. It does well in good and bad economic cycles.
4. Free cash flow is strong and growing.
5. It will add 10% to its pro forma adjusted earnings per share and that's before any synergies.
6. It didn't have to go through a bidding war.
You don't have to be a rocket scientist to see that the deal boosts its margins in impressive fashion. Its adjusted gross margin will increase 320 basis points to 32.1% while its adjusted EBITDA margin improves 140 basis points to 13.2%. And all it has to do to achieve these improvements is to shell out $1.75 billion paid using cash on its books, new equity and some additional debt. In this low-rate environment it doesn't seem like a bad proposition. Especially if it can generate permanent cost savings through economies of scale, etc.
What it really brings to the table is top-line growth. In 2012, Yankee Candle's revenues increased by 7.4% year-over-year to $844.2 million. Meanwhile, Jarden's revenues in 2012 were flat year-over-year at $6.7 billion. Its 542 retail stores delivered same-store sales growth of 2.5% in 2012, which is more than respectable. Where it really shined was online, which saw comparable sales in its consumer direct - [By Will Ashworth]
One of the only ways to fight this is by getting bigger. A good example in another industry is Jarden (JAH), a consumer goods business with annual revenues of $7.4 billion. It as big as it is in order to be able to provide a larger assortment of products to Walmart (WMT), its biggest customer, representing 20% of overall sales. Without this wide assortment, Bentonville would have to go elsewhere for sales. The same scenario applies to cable and television content.

Small cap patent stocks Spherix Inc (NASDAQ: SPEX), PDL BioPharma Inc (NASDAQ: PDLI) and Endeavor IP Inc (OTCBB: ENIP) are among thegrowing number of publicly tradedUS entities focused on collecting and making money from various types of patents. After all, monetizing patents can lead to incredible returns. For example: Nomura analyst Rick Sherlund wrote in a research note back in November that Microsoft Corporation (NASDAQ: MSFT) is generating $2 billion per year in revenue from Android patent royalties and heestimates that this revenue has a 95% margin. However, there are risks associated with investing in stocks that invest in patents because a bi-partisan bill called the Innovation Act (H.R. 3309) isworking its way through Congress to try and reign in the activities of so-called"patent trolls" or rather companies that buy or license patents from others.

Here, you want to compare the return on the company's buyback with the return you could achieve. However, you want to keep in mind that while you would pay a tax on the dividend the company does not pay a tax on the buyback. Let's say I imagine John Wiley (JW.A) will get a 10% return on its buyback. Likewise, I think I can go out and return 10% a year myself picking my own stocks. In this case, which should I prefer? Should I prefer John Wiley paid a dividend or used all of its free cash flow to buyback stock?
